Terms of Service
1. Who We Are and These Terms
CargoMind is provided by КаргоМайнд ЕООД (CargoMind Ltd), ЕИК / UIC 208753920, Bulgaria ("CargoMind", "we", "us"). These Terms of Service ("Terms") govern the use of the CargoMind web application, driver app, websites, APIs and related services (the "Service") by the business that registers an account (the "Customer", "you"). By creating an account, starting a trial or using the Service you accept these Terms. If you accept them on behalf of a company, you confirm that you are authorised to bind it. The Service is intended for businesses only, not for consumers.
2. The Service
CargoMind is a cloud transport management system for carriers, freight forwarders and logistics companies (orders, dispatch, tracking, documents, invoicing, expenses, reports and AI-assisted features). We continuously develop the Service and may add, change or remove features; we will not materially reduce the core functionality of a paid plan during a paid period without notice. Features marked as beta or preview are provided as they are.
3. Accounts and Users
You are responsible for the accuracy of your account information, for all activity under your account, for keeping passwords and access links confidential, and for the users you invite (office users, drivers, partners). Notify us immediately at hello@cargomind.app of any unauthorised use.
4. Trial, Plans, Fees and Payment
- New accounts may start with a free trial (currently 30 days, no payment card required). At the end of the trial a paid plan is needed to keep using the Service.
- Fees are charged per plan and per office user as shown on www.cargomind.app/pricing or in your order; driver accounts are free unless stated otherwise. Usage-based items (for example AI transactions beyond the included allowance or company checks) are charged at the published rates, shown in the app before use.
- Prices are exclusive of VAT and other taxes. Invoices are payable by their due date. Paid periods are not refunded, except where the law requires otherwise.
- If an invoice remains unpaid after a reminder, we may restrict or suspend access until it is paid. Suspension does not delete your data.
- We may change prices with at least 30 days' notice; changes apply from your next billing period.
5. Your Data
You keep all rights to the data and files you or your users enter into the Service ("Customer Data"). You grant us the right to host, process and display Customer Data only as needed to provide, secure and support the Service. You are responsible for having a lawful basis for the personal data you enter (e.g. about drivers, customers and partners) and for its accuracy.
6. Data Processing (GDPR)
For personal data in Customer Data, you are the controller and CargoMind is the processor. We will: (a) process it only on your documented instructions, i.e. to provide the Service; (b) ensure that our staff are bound by confidentiality; (c) apply appropriate technical and organisational security measures; (d) use only the sub-processors listed in our Privacy Policy, under written agreements, and inform you of changes to that list; (e) assist you with data-subject requests, security and impact assessments where reasonably needed; (f) notify you without undue delay of a personal-data breach affecting your data; (g) delete or return your personal data at the end of the Service, unless the law requires us to keep it; and (h) make available the information needed to demonstrate compliance. Transfers outside the EEA (for example to AI processors) take place only under appropriate safeguards such as the EU Standard Contractual Clauses.
7. AI Features
The Service includes AI features that read documents, extract data, suggest prices or routes, assess risk and answer questions. AI output may be incomplete or wrong. You must review AI-extracted or AI-generated information before relying on it, including amounts, dates, plates and legal or financial assessments. Risk scores and company checks are informational and are not financial, legal or credit advice. You remain responsible for your business decisions.
8. Acceptable Use
You will not: use the Service unlawfully or to infringe the rights of others; upload malware or unlawful content; attempt to access other customers' data or bypass security, rate limits or usage limits; reverse-engineer, copy or resell the Service except as permitted by law; scrape it or place an unreasonable load on it; or share user accounts. We may suspend access that threatens the security or stability of the Service or breaches these Terms, with notice where reasonably possible.
9. Third-Party Services and Integrations
The Service can connect to third-party services (for example telematics providers, banks, fuel-card issuers, maps, messaging apps and public registries). Their use is subject to their own terms. We are not responsible for their availability, accuracy or acts, and integrations may change if a provider changes its service.
10. Availability and Support
We use commercially reasonable efforts to keep the Service available and secure, with planned maintenance announced in advance where possible. Unless a separate written agreement says otherwise, no specific uptime level is guaranteed. Support is provided by email, in the app and via the in-app assistant.
11. Intellectual Property
The Service, its software, design and content (excluding Customer Data) belong to CargoMind or its licensors. You receive a non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback or suggestions, we may use them freely.
12. Confidentiality
Each party will keep the other party's non-public information confidential and use it only for the purposes of these Terms, except where disclosure is required by law.
13. Warranties
The Service is provided as it is and as available. To the extent permitted by law, we give no warranties beyond those expressly stated in these Terms, including warranties of fitness for a particular purpose.
14. Limitation of Liability
To the extent permitted by law, neither party is liable for indirect or consequential losses, lost profits, revenue or data, and CargoMind's total liability arising out of or in connection with the Service in any 12-month period is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability for intent or gross negligence, or any liability that cannot be limited by law.
15. Indemnity
You will indemnify CargoMind against third-party claims arising from Customer Data or from your use of the Service in breach of these Terms or the law.
16. Term and Termination
These Terms apply for as long as you use the Service. You can cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We may terminate or suspend the Service for material breach that is not remedied within 14 days of notice, or immediately where required by law or to prevent serious harm. Before or upon termination you can export your data, and we will provide an export on request made within 30 days after termination; after that, Customer Data is deleted as described in the Privacy Policy, except where the law requires us to keep it.
17. Changes to These Terms
We may update these Terms. We will notify you of material changes by email or in the app at least 14 days before they take effect. Continued use after that date means you accept the updated Terms; if you do not agree, you may cancel before they take effect.
18. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Bulgaria. Disputes will first be discussed in good faith; if they cannot be resolved, they will be decided by the competent courts in Sofia, Bulgaria. If any provision is invalid, the rest of the Terms remain in force.
